Terms of Service

Effective October 18, 2026 · Rose Tech HQ LLC

These terms are an agreement between Rose Tech HQ LLC (“Rose Tech HQ LLC”, “we”, “us”) and each organization that uses Rose, the workspace at projectsbyrose.com. The User Agreement sets out what each person who signs in agrees to, the Privacy Policy explains how we handle information, and the Data Protection terms cover the information we process for an organization.

1. Agreement

These terms apply to every organization that uses Rose and to every person who signs in on an organization's behalf. If an organization has a separate written agreement with us (such as a license or partnership agreement), that agreement controls where it conflicts with these terms.

2. Organizations and accounts

  • Each organization has its own private workspace. Its Owners and Admins decide who gets an account, what each person can see and do, and how its data and connections are set up.
  • An organization is responsible for its people's use of Rose and for keeping their access current, including removing access when someone leaves.
  • Accounts are for one named person. Don't share sign-ins.
  • Information you give us about yourself must be accurate and kept up to date.

3. Account security

Keep your password and authenticator app secure. Rose requires multi-factor sign-in: a password and a code from an authenticator app, every time. Tell your administrator or us right away if you think your account was used without permission.

4. Your data

  • Each organization owns the information it puts into Rose (its projects, tasks, documents, messages, meeting records and financial data) and gives us permission to host, process and transmit it to provide the service, as described in the Privacy Policy and the Data Protection terms.
  • We may use de-identified, aggregated information to operate and improve the platform.
  • An organization can ask us to export its data. When it closes its account, we delete or de-identify its data as described in the Privacy Policy.

5. Connected accounts

People can connect their Google, Microsoft and Calendly accounts for calendar and mail, and an organization can connect QuickBooks Online or Zoho Books for accounting. You must have the right to connect any account you add and to let Rose access its data. You can disconnect an account at any time.

Access to a connected accounting system is read only. Rose does not create, change or delete records in your books.

6. Acceptable use

You may not use Rose to:

  • break the law, or send spam, unsolicited marketing, or messages that are deceptive, harassing or threatening;
  • upload malware, probe or attack the platform, or try to get to data you aren't allowed to see;
  • copy, resell or reverse-engineer the platform, or use it to build a competing product;
  • record a meeting without the notice and consent the law requires;
  • upload content you don't have the right to use, or sensitive information the platform isn't designed for (such as full payment card numbers, Social Security numbers or medical records), except where a feature is built for it.

7. Third-party services

Organizations and their people can connect services such as Google, Microsoft, Calendly, QuickBooks Online and Zoho Books. Those services are governed by their own terms, and the organization or person is responsible for its accounts with them and their charges. We aren't responsible for third-party services, but we work to keep integrations reliable.

8. AI features

Some features use AI to answer questions, draft content, summarize and triage mail, transcribe meetings and flag issues in documents. AI output may be inaccurate or incomplete. Review it before relying on it, and don't use it as legal, tax or financial advice.

9. Financial information is for reference only

Reports, statements, reconciliations, budgets and forecasts shown in Rose are a convenience view built from data imported from your accounting system. They are not your books of record, not an audit, and not accounting, tax, legal or investment advice.

Imported data can be incomplete or out of date. Before relying on a figure for a filing, a payment, a covenant or any other decision with consequences, check it against your accounting system and your accountant.

10. Support access

Our staff are not members of your workspace. When an Owner of your organization gives us a one-time support code, our support team may view your workspace, read only, for the time the code allows, to help you. We make changes only after one of your Owners approves them. Every support session, and every change made during one, is recorded in your Audit Log. Separately, a small number of named Rose Tech HQ LLC engineers can reach the underlying systems to operate, secure and repair the service.

11. Our platform

Rose Tech HQ LLC owns Rose, including its software, design and documentation. We give each organization and its users a limited, non-exclusive, non-transferable right to use it during their subscription or license. Feedback you send us may be used to improve the platform without obligation to you.

12. Confidentiality

Each side will protect the other's non-public information with reasonable care and use it only to provide or use the platform.

13. Fees and provider charges

Fees for Rose, if any, are set in the organization's agreement with us. Charges from an organization's own providers (for example its accounting or email services) are the organization's responsibility.

14. Disclaimers

Rose is provided “as is” and “as available”. To the extent the law allows, we disclaim implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We don't guarantee uninterrupted operation, that third-party data (such as weather or imported accounting data) is accurate, or any business outcome.

15. Limitation of liability

To the extent the law allows, neither side is liable for indirect, incidental, special, consequential or punitive damages, or lost profits or data. Our total liability for any claim relating to Rose is limited to the amounts the organization paid us for it in the 12 months before the claim (or $100 if it paid nothing). These limits don't apply to an organization's obligations under the Indemnification section or to amounts it owes.

16. Indemnification

Each organization will defend and hold Rose Tech HQ LLC harmless from claims arising from its data and content, the accounts it and its people connect, its recording of meetings, or its breach of these terms.

17. Suspension and termination

We may suspend access that threatens the security or integrity of the platform, breaks the law or these terms, or exposes others to harm, and will restore it when the issue is resolved. An organization may stop using Rose at any time. Sections that by their nature should survive (such as data, confidentiality, disclaimers, liability and indemnification) survive termination.

18. Governing law and disputes

These terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in New Jersey, and each side consents to their jurisdiction.

19. Changes

We may update these terms. We'll post the new version here with a new effective date and ask users to accept significant changes when they next sign in.
